These Terms of Service ("Terms") govern your access to and use of the CatalEx platform at console.catalex.co and related services ("Service"), operated by CatalEx ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you:
- Are at least 16 years of age.
- Have the authority to enter into these Terms on behalf of yourself or the organization you represent.
- Agree to comply with all applicable laws and regulations in connection with your use of the Service.
If you are using the Service on behalf of a company or other legal entity ("Organization"), you represent that you have the authority to bind that Organization to these Terms.
2. Description of Service
CatalEx is an AI-powered workplace intelligence platform that provides:
- Intelligence: AI-assisted question answering and analysis across your connected data sources.
- Knowledge: Semantic search and document indexing from third-party integrations.
- Tasks: Automated task extraction and management from your documents and conversations.
- Automation: Configurable workflows and scheduled operations.
- Agents & Integrations: Custom and official integrations via the Model Context Protocol (MCP).
We may update, modify, or discontinue features of the Service at any time with reasonable notice.
3. Accounts and Registration
3.1 Account Creation
You must create an account to use the Service. You agree to provide accurate and complete registration information and to keep this information up to date.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities that occur under your account.
- Notifying us immediately at support@catalex.co if you suspect unauthorized access to your account.
3.3 Organization Accounts
When you create or join an Organization on CatalEx:
- The Organization administrator controls access, roles, and permissions for all users within the Organization.
- The Organization administrator may access, modify, or delete Organization data, including data you contribute.
- If you leave an Organization, your access to that Organization's data will be revoked.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Upload, transmit, or store content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to develop a competing product or service.
- Circumvent any usage limits, rate limits, or access controls.
- Use automated means (bots, scrapers, crawlers) to access the Service except through our published APIs.
We reserve the right to suspend or terminate accounts that violate these terms.
5. Your Data
5.1 Ownership
You retain all ownership rights to the data you submit to the Service ("Your Data"). We do not claim ownership of Your Data.
5.2 License Grant
By using the Service, you grant us a limited, non-exclusive license to access, process, store, and display Your Data solely to provide and improve the Service. This license terminates when you delete Your Data or close your account.
5.3 Connected Data Sources
When you connect third-party integrations (Google Drive, Slack, Jira, GitHub, Notion, Confluence), you authorize us to access and index content from those services on your behalf. You are responsible for ensuring you have the right to share this content with CatalEx.
5.4 AI Processing
Your Data may be processed by AI models to provide the Service's intelligence features. See our Privacy Policy for details on how your data is handled during AI processing, including our commitment that your data is not used to train AI models.
5.5 Data Deletion
You may disconnect integrations at any time to delete indexed content from that source. For full account deletion, contact privacy@catalex.co. We will process deletion requests within 30 days.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including its software, design, logos, documentation, and all related intellectual property, is owned by CatalEx and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
6.2 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable license to use, modify, and incorporate that Feedback into the Service without obligation to you.
7. Third-Party Services
The Service integrates with third-party services (Google Workspace, Slack, Jira, GitHub, Notion, Confluence, and others). Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.
8. Service Availability
8.1 Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
8.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service.
9. Payment and Billing
If applicable to your plan:
- Fees are billed in advance on a monthly or annual basis as specified at the time of purchase.
- All fees are non-refundable except as required by applicable law.
- We reserve the right to change pricing with 30 days' advance notice.
- Failure to pay may result in suspension or termination of your account.
Free tier users are subject to usage limits as described on our website.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
- We do not warrant that the Service will be error-free, secure, or uninterrupted, or that AI-generated outputs will be accurate, complete, or suitable for any particular purpose.
- In no event shall CatalEx be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Service.
- Our total aggregate liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless CatalEx, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Content you submit to the Service.
12. Termination
12.1 By You
You may terminate your account at any time by contacting support@catalex.co. Upon termination, your right to use the Service ceases immediately.
12.2 By Us
We may suspend or terminate your account if:
- You breach these Terms.
- Your use of the Service poses a security risk or may cause harm to other users.
- Required by law.
12.3 Effect of Termination
Upon termination:
- Your access to the Service will be revoked.
- Your Data will be handled in accordance with our Privacy Policy and data retention practices.
- Provisions that by their nature should survive termination (including Sections 5.1, 6, 10, 11, and 14) will remain in effect.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice on the CatalEx platform or by email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.
14. General Provisions
14.1 Governing Law
These Terms are governed by the laws of the jurisdiction in which CatalEx is incorporated, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.
14.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
14.4 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and CatalEx regarding your use of the Service.
14.5 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
